Worthly Terms of Use

Please read these Terms of Use (“Terms”) carefully before using Worthly’s website or mobile application (the “Service”). By accessing or using Worthly, you agree to be bound by these Terms. If you do not agree, you may not use our Service.

1. Definitions

For the purposes of these Terms:

• Affiliate – Any entity that controls, is controlled by, or is under common control with Worthly.

• Company – Refers to Worthly, operated by Opie Platforms Inc. (“we,” “us,” or “our”).

• Device – Any device capable of accessing the Service, such as a smartphone, tablet, or computer.

• Service – The Worthly website, mobile application, and all related features and content.

• You – The individual using the Service, or the legal entity on whose behalf the individual is using the Service.

You must be at least 18 years old to use Worthly. By using the Service, you confirm that you meet this requirement.

3. Acceptance of Terms

By creating an account, browsing the website, or using the app, you agree to these Terms and to our Privacy Policy. If you do not accept these Terms, you must stop using the Service immediately.

You agree to use Worthly only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to engage in fraudulent, deceptive, or harmful activities

• Attempt to gain unauthorized access to our systems or data

• Upload malicious code or interfere with the functionality of the Service

Worthly may include links to or integrations with third-party services. We are not responsible for the content, policies, or practices of those third parties. You access them at your own risk.

6. Termination

We may suspend or terminate your access to Worthly without notice if you violate these Terms, engage in illegal activity, or interfere with the operation of our Service. Upon termination, your right to use the Service will immediately end.

7. Limitation of Liability

To the fullest extent permitted by law, Worthly and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the last 12 months, or $100 if you made no purchases.

8. “As Is” Disclaimer

The Service is provided on an “as is” and “as available” basis without warranties of any kind. We make no guarantees that the Service will be uninterrupted, error-free, secure, or that results will meet your expectations.

9. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

10. Dispute Resolution

If you have a dispute with us, you agree to contact us first to attempt an informal resolution. If that fails, disputes will be resolved in the courts of British Columbia, Canada, unless otherwise required by law.

11. International Users

If you access Worthly from outside Canada, you are responsible for complying with local laws. We make no representation that our Service is available or legal in all locations.

12. Severability

If any part of these Terms is found invalid or unenforceable, the rest will remain in full effect.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Service or email. Continued use of the Service after changes take effect means you agree to the updated Terms.
